LIMITED WARRANTY AND MEDICAL DEVICE DISCLAIMER
BUSINESS TO BUSINESS TRANSACTIONS ONLY
1. Applicability and Scope
Rolko North America, Inc. (“Seller”) warrants to its business customers only (“Buyer”) that the products sold by Seller are free from defects in materials and workmanship under normal use and service. This Limited Warranty applies solely to business to business transactions. Sales to consumers are expressly excluded and are not covered. Seller acts solely as a distributor of medical equipment components and accessories. Seller does not design, manufacture, or determine the clinical suitability of products for any specific medical application unless expressly stated in writing.
2. Warranty Period
This Limited Warranty is valid for a period of six (6) months from the date of delivery to Buyer.
3. Warranty Remedies
If a product is determined by Seller to be defective within the warranty period, Seller shall, at its sole discretion, do one of the following:
- Repair the defective product
- Replace the defective product with the same or a functionally equivalent product
If Seller is unable to repair or replace the product within a reasonable time, Buyer’s sole remaining remedy shall be a refund of the original purchase price paid for the defective product. These remedies constitute Buyer’s sole and exclusive remedies and Seller’s entire liability for any breach of this Limited Warranty.
4. Medical Device and Regulatory Disclaimer
Products distributed by Seller may be classified as medical devices or medical device accessories under applicable U.S. and international regulations. Buyer acknowledges and agrees that Seller does not provide medical advice or clinical determinations. Buyer is solely responsible for verifying product compatibility, regulatory compliance, and suitability for Buyer’s intended use, including compliance with FDA, state, and international regulatory requirements. Final product configuration, labeling, and intended use determination rests solely with Buyer or the original equipment manufacturer. Seller makes no warranty that products are fit for any particular medical purpose, treatment, or patient application.
5. Alignment With Manufacturer Warranties
To the extent permitted by law, this Limited Warranty is intended to align with and flow down from the warranty terms provided by Seller’s upstream manufacturers and suppliers, including but not limited to Rolko Germany and MK Battery. Seller does not provide any warranty beyond those expressly stated herein or beyond what is provided by the original manufacturer.
6. Exclusions and Limitations
This Limited Warranty does not cover defects or damage resulting from misuse, abuse, improper installation, improper storage, alteration, modification, or repair by parties other than Seller or an authorized manufacturer. Normal wear and tear, cosmetic damage, or consumable components are excluded. Accidents, negligence, or failure to follow instructions or specifications are excluded. Indirect, incidental, special, or consequential damages including loss of profits, loss of use, downtime, labor costs, or replacement costs are excluded.
7. Notice of Defects
Buyer must notify Seller in writing of any alleged defect within ten (10) business days after discovery. Failure to provide timely notice voids this Limited Warranty for the claimed defect.
8. Disclaimer of Implied Warranties
EXCEPT AS EXPRESSLY SET FORTH HEREIN, SELLER MAKES NO WARRANTIES, EXPRESS OR IMPLIED. ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Governing Law and Jurisdiction
This Limited Warranty shall be governed by the laws of the State of Iowa, USA. Any dispute arising out of or relating to this Limited Warranty shall be brought exclusively in the state or federal courts located in Iowa.

Rolko North America, Inc. provides a six (6) month limited warranty from date of delivery covering defects in materials and workmanship for business customers only. Seller’s obligation is limited, at its sole discretion, to repair, replacement, or refund of the purchase price. Buyer’s remedies are exclusive.
Seller is a distributor of medical equipment components and makes no representation regarding clinical suitability or fitness for a particular medical purpose. Buyer is solely responsible for regulatory compliance and intended use determination. All implied warranties, including merchantability and fitness for a particular purpose, are disclaimed. Seller shall not be liable for indirect, incidental, or consequential damages. Iowa law governs.
